1. Acceptance of Terms

By accessing and using the Visofy Studio website (visofy.app) and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms and Conditions, please do not use our services.

2. Services Description

Visofy Studio provides web design, development, and digital product services including but not limited to:

• Custom website design and development
• Web application development
• Brand identity and design systems
• User experience (UX) and user interface (UI) design
• Digital strategy and consulting
• Ongoing maintenance and support services

3. Client Obligations

3.1 Information and Materials

Clients agree to provide all necessary information, materials, and access required for project completion in a timely manner. Delays in providing materials may result in project timeline extensions.

3.2 Content Responsibility

Clients are responsible for the accuracy, legality, and appropriateness of all content provided for use in projects. Visofy Studio is not liable for any client-provided content that infringes on third-party rights.

3.3 Feedback and Approval

Clients agree to provide timely feedback and approvals at designated project milestones. Extended periods without feedback may result in project delays or additional fees.

4. Payment Terms

4.1 Project Fees

All project fees are outlined in individual project proposals or contracts. Payment schedules typically include:

• Initial deposit (typically 50%) to commence work
• Milestone payments as specified in the project agreement
• Final payment upon project completion

4.2 Payment Methods

We accept payment via bank transfer, credit card, PayPal, or other methods as agreed upon in the project contract.

4.3 Late Payments

Late payments may result in project suspension and/or late fees as outlined in the project contract. We reserve the right to withhold project files and access until full payment is received.

5. Intellectual Property Rights

5.1 Ownership Upon Payment

Upon receipt of final payment, clients receive full ownership of the final deliverables as specified in the project contract, excluding any third-party components or pre-existing materials.

5.2 Pre-existing Materials

Visofy Studio retains ownership of all pre-existing materials, including but not limited to templates, code libraries, design systems, and proprietary tools used in project delivery.

5.3 Portfolio Rights

Visofy Studio reserves the right to display completed projects in our portfolio, case studies, and marketing materials unless otherwise agreed upon in writing.

6. Project Timelines

Project timelines are estimates based on the information available at project commencement. Timelines may be extended due to:

• Delays in client feedback or material provision
• Scope changes or additions
• Force majeure events
• Technical dependencies or third-party delays

7. Revisions and Changes

7.1 Included Revisions

Each project includes a specified number of revision rounds as outlined in the project proposal. Additional revisions beyond the agreed scope may incur additional fees.

7.2 Scope Changes

Changes to project scope after work has commenced will be evaluated and may result in adjusted timelines and fees. All scope changes require written approval from both parties.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that services will be performed with professional care and skill. For a period of 30 days after project delivery, we will correct any errors or defects in our work at no additional charge.

8.2 Disclaimer

Beyond the express warranty above, our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that:

• Services will meet all client requirements
• Services will be uninterrupted or error-free
• Results obtained will be accurate or reliable
• Third-party services or components will function as expected

9. Limitation of Liability

To the maximum extent permitted by law, Visofy Studio shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from third-party services or components
• Damages exceeding the total fees paid for the specific project

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of the project. This obligation survives the termination of the agreement.

11. Termination

11.1 Termination by Client

Clients may terminate projects with written notice. Upon termination:

• Client is responsible for payment of all work completed to date
• Client receives work-in-progress files in their current state
• All deposits are non-refundable

11.2 Termination by Visofy Studio

We reserve the right to terminate projects if:

• Client fails to make required payments
• Client breaches these Terms and Conditions
• Continuing the project would be unlawful or unethical

12. Third-Party Services

Projects may require or incorporate third-party services, tools, or components (e.g., hosting, fonts, stock images, APIs). Clients are responsible for:

• Obtaining necessary licenses or subscriptions
• Complying with third-party terms of service
• Ongoing costs associated with third-party services

13. Support and Maintenance

Post-launch support and maintenance services are available through separate agreements. Unless specifically included in the project contract, ongoing support is not automatically provided.

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or government actions.

15. Indemnification

Client agrees to indemnify and hold harmless Visofy Studio from any claims, damages, or expenses arising from:

• Client-provided content or materials
• Client's use of deliverables
• Client's breach of these Terms and Conditions
• Client's violation of any third-party rights

16. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Visofy Studio operates, without regard to conflict of law principles.

17. Dispute Resolution

Any disputes arising from these Terms and Conditions or project work shall first be addressed through good-faith negotiation. If negotiation fails, parties agree to pursue mediation before initiating legal proceedings.

18. Modifications to Terms

Visofy Studio reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of modified terms.

19. Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms and Conditions, together with any project-specific contracts or proposals, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
